These Terms of Use (the "Terms") govern access to and use of the Schoolap platforms - website and applications - including the Schoolap school ERP and related modules (the "Service"), provided by the Schoolap group. By browsing the Platform, creating an account, accessing the Service or clicking "I accept", you acknowledge the Terms and the Personal Data Protection Policy and agree to be bound by them. If you do not agree, do not use the Platform.
For paid plans, these Terms apply together with the applicable order form or subscription agreement (the "Order Form"), which sets out your commercial terms (entity, pricing, duration, payment, penalties). In case of conflict, the Order Form prevails for its specific provisions.
The Service is published and owned by EDUKEVER DMCC (United Arab Emirates), distributed through its regional subsidiaries. The Platform is open to institutions worldwide: if your country has no local Schoolap entity, you may use the Service by accepting these Terms and you then contract directly with EDUKEVER DMCC.

Certain features require an account. You represent that you have capacity to accept these Terms, including being at least 18 years old and not under a legal protection measure. Consent for minors under 18 must be given by a parent, legal guardian or school authority, in the context of the partnership between the Institution and Schoolap.
An account may be created via the registration form with complete and accurate information, or through an encoding/import process. A temporary password is sent by email or SMS and must be changed on first login.
Choose a strong password (at least 8 characters, including an uppercase letter, a digit and a special character; no trivial passwords). Credentials are strictly personal and confidential. Any action taken with your credentials is deemed taken by you until you notify Schoolap of any loss or fraudulent use (communication@schoolap.com). You may create only one account, and may not share, assign or transfer it.
You warrant that the information you provide is true, accurate, complete and kept up to date, and you are solely responsible for its sincerity. Schoolap is not liable for errors or omissions in the information provided to it.
Subject to these Terms and payment of applicable fees, the Provider grants you a non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal educational activity, for the duration of your subscription.
You may not reproduce, copy, modify, resell, reverse-engineer the Service or Platform, extract its content (including by robot or spider), or circumvent its usage limits.
Schoolap is an educational platform. You agree to lawful, respectful use and not to:
Exchanges are moderated after posting: messages are published immediately but may be reviewed and removed. In case of breach, Schoolap may apply sanctions up to banning (full access block).
Any course published within the Service remains the property of its author. Subscribers may access discussion spaces (forums, comments); private correspondence must use private messaging. Use of these spaces is subject to clause 8 and the reporting process in clause 10.
Any User may report unlawful content or content contrary to these Terms, by email to communication@schoolap.com or via the "Contact us" form, stating their identity, describing the content and its location, and the grounds. Schoolap reserves the right to remove reported unlawful content; manifestly abusive reports may be sanctioned.
Paid use is subject to the fees in your Order Form (typically a price per student per school term), plus any Ancillary Services. Rates for SMS credits and storage are displayed on the Platform and apply at the rate in force on the order date.
Currency, schedule, grace period and late-payment penalties are those in the Order Form. Where there is no local entity in the institution's country, the DRC standard rate applies: USD 5 per user per term, billed in the local currency of the User's country. Unpaid amounts may lead to suspension.
Where offered, a free trial or Freemium access lets you deploy and evaluate the Service. Unless cancelled before it ends, the subscription automatically becomes payable under the Order Form.
You retain ownership of your Customer Data and are solely responsible for its legality, accuracy and required consents, in particular for minors' data. You grant the Provider a limited licence to host, process and display Customer Data solely to operate the Service.
By posting content (courses, documents, messages, projects), the Subscriber grants Schoolap a worldwide, non-exclusive, transferable and sublicensable licence to copy, store, adapt and display such content solely for the proper functioning of the Service. The Subscriber warrants holding the necessary rights and that the content infringes no third-party rights or laws, and indemnifies Schoolap against related claims.
We process personal data in accordance with our Personal Data Protection Policy (an integral part of these Terms) and applicable laws (including, where relevant, the Data Protection Act, 2019 of Kenya and other regional laws). For paid plans, the Customer is data controller and the Provider is processor; a separate DPA may apply.
You have rights of access, rectification and deletion of your account and data. On unsubscription or end of the relationship, personal data is deleted within thirty (30) days, subject to legal retention obligations and learner-record continuity.
Except for courses and content posted by Users, all elements of the Service and Platform (software, source code, text, graphics, databases, the "Schoolap" trademarks, etc.) remain the exclusive property of the Schoolap group. These Terms grant no transfer of intellectual property, only a limited right of use.
We use commercially reasonable efforts to keep the Service available (target 99.5% per month) but are bound only by an obligation of means. Access may be interrupted for maintenance, updates or emergencies, without entitlement to compensation. You are advised to keep backups; in case of incident, we endeavour to restore access and data as far as possible.
As host of content posted by Users (other than courses), Schoolap does not pre-screen but may remove manifestly unlawful content notified to it. Schoolap is liable only for direct damages resulting from breach of its obligations, excluding damages caused by the User, a third party, the Internet network or force majeure, and excluding indirect damages (loss of business, revenue, data, reputation).
To the maximum extent permitted by law, and for paid plans, the Provider's aggregate liability is limited to amounts paid for the subscription during the twelve (12) months preceding the claim. These limits do not apply to gross negligence, wilful misconduct or payment obligations.
You will indemnify the Provider against third-party claims arising from your Customer Data or content, your use of the Service in breach of these Terms, or your breach of applicable law.
Schoolap may suspend or deactivate an account for breach of these Terms, abusive use or security risk, after attempting contact where possible. You may unsubscribe by writing to communication@schoolap.com; unsubscription terminates the agreement, effective within thirty (30) business days. On termination, you may request the return of your Customer Data before deletion, subject to legal obligations.
We may update these Terms and the Personal Data Protection Policy. We will notify you by email or within the Platform before changes take effect; the applicable Terms are those in force at the time of your use. Continued use after the effective date constitutes acceptance. Where required, changes or addenda may be presented for online electronic signature within the Platform, which constitutes binding acceptance.
Each party complies with applicable laws, including anti-bribery and anti-money-laundering, and applicable international sanctions and export-control regimes.
Neither party is liable for delay or failure to perform caused by an unforeseeable, irresistible and external event. Obligations are suspended during the event; if the impediment is permanent, the parties are released from their corresponding obligations.
The operational aspects of your use are governed by the law and forum of your region (clause 2). Intellectual property and the rights of the Schoolap group are governed by the laws of the United Arab Emirates (Dubai courts or DIAC/DMCC arbitration). The parties first seek an amicable resolution before any proceedings.
